5.2 Risk Transfer: The risk of the product will transfer from us to you upon delivery in accordance with the agreed trade terms.
5.3 Delayed Delivery: We shall not be liable for delivery delays caused by force majeure (such as war, strikes, natural disasters, major epidemics, government actions) or factors beyond our reasonable control (such as raw material shortages, logistical congestion).
VI. Quality Assurance, Returns and Refunds
6.1 Quality Assurance: We guarantee that the products meet the specifications and quality standards confirmed in the order when they leave the factory. The specific quality assurance period and scope shall be subject to the quality assurance certificate provided with the goods or the contract between both parties.
6.2 Returns and Refunds: Due to the customized nature and B2B characteristics of furniture products, we implement a strict "no returns" policy. We do not accept returns for subjective or non-quality reasons such as customer changes of mind, measurement errors, or slight color differences.

6.3 Customized Products: Once a customized product (including specific size, color, fabric, logo, etc.) has entered production, it cannot be cancelled, changed, or refunded.
VII. Intellectual Property
7.1 All intellectual property rights of all content on this company's website, product catalog, design drawings, images, logo, text, etc. belong to Foshan Muxi Furniture Co., Ltd.
7.2 You may not copy, modify, distribute or use for any commercial purpose without our express written permission.
VIII. Limitations of Liability
8.1 To the maximum extent permitted by law, our total liability under this Agreement, whether based on contract, tort (including negligence) or otherwise, shall not exceed the total amount of the order to which the claim arises.
8.2 Under no circumstances shall we be liable for any indirect, incidental, punitive, or consequential damages (such as loss of profits, business interruption, or loss of data), whether or not we have been advised of the possibility of such damages.
IX. Force Majeure
Failure of either party to perform this Agreement due to events beyond its reasonable control (including but not limited to fire, flood, earthquake, war, cyberattack, government regulation, labor disputes, etc.) shall not be deemed a breach of contract, but the other party shall be notified as soon as possible after the occurrence of the event.
10. Applicable Law and Dispute Resolution
10.1 Governing Law: The formation, effectiveness, interpretation, enforcement and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.
10.2 Dispute Resolution: Any dispute arising out of or relating to this Agreement shall first be settled amicably through negotiation between the parties. If such negotiation fails, either party shall have the right to submit the dispute to a people's court with competent jurisdiction in the place where the Company is located for litigation.

11.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be amended to achieve the full extent of the original intent of the parties, and the remaining provisions shall remain in full force and effect.
